Terms of Service

Welcome to Eriva Labs! These Terms of Service ("Terms") are a legal agreement between you ("User", "you") and Eriva Labs, a sole proprietorship registered in India under Udyam MSME ("we", "us", or "our"), governing your use of the Eriva Labs website, courses, interactive simulations, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

By purchasing a subscription or course on Eriva Labs, you also agree to Paddle's terms and conditions and privacy policy. Paddle handles the payment processing, fraud prevention, and local tax compliance (e.g., VAT/GST) for your purchases. While Paddle is responsible for the billing transaction, Eriva Labs provides front-line support for content and platform access.

2. Age Restrictions and Eligibility

While Eriva Labs provides educational content, international privacy laws require us to restrict account creation.

  • Minimum Age: You must be at least 13 years of age (or the minimum age of digital consent in your country, e.g., 16 in certain EU jurisdictions) to create an account and use the Services.
  • Purchases: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to make a purchase. If you are under 18, a parent or legal guardian must make the purchase on your behalf and agree to these Terms.

3. Account Registration and Security

To access certain features of the Services, you must register for an account.

  • Accuracy: You agree to provide accurate, current, and complete information during the registration process.
  • Security: You are responsible for safeguarding your login credentials. You are responsible for all activities that occur under your account.
  • Account Sharing: Sharing your account credentials with others is strictly prohibited and constitutes grounds for immediate account termination without refund.

4. Subscription and Billing

A. Fees

Eriva Labs offers access to content via paid subscriptions or one-time purchases. The fees for the Services are specified during the checkout process and are processed by Paddle.

B. Renewals and Cancellations

If you purchase a recurring subscription, it will automatically renew at the end of the billing cycle unless you cancel it prior to the renewal date. You can cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

C. Refunds

Refunds are governed by our Refund Policy, which forms a part of these Terms. Please review it carefully.

5. Intellectual Property and Licensing

A. Our Content

All interactive software, platform code, user interface designs, and the specific interactive adaptations of educational materials (collectively, "Eriva Labs Content") are the property of Eriva Labs or its licensors.

B. Open Access Materials & Attribution

Eriva Labs frequently utilizes Open Access (OA) materials, including but not limited to open-source textbooks and research papers (e.g., from arXiv.org), as foundational source material for our in-house course catalog.

  • Respect for Licenses: We are committed to complying with all open-access licenses (such as Creative Commons licenses) associated with these materials.
  • Accreditation: Eriva Labs provides prominent attribution, including the names of the original authors and links to the original source material, on all relevant course landing pages and lesson pages.
  • Derived Works: Unless otherwise stated by a specific open-access license, our interactive simulations and adaptations are considered "derivative works" for educational purposes, and Eriva Labs claims ownership only over the unique interactive layer and pedagogical structuring provided by our platform.

C. License to You

Subject to your compliance with these Terms, Eriva Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Eriva Labs Content strictly for your personal, non-commercial, educational use.

D. Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services or Eriva Labs Content.
  • Reverse engineer or attempt to extract the source code of our interactive simulations or platform.
  • Use the Services to develop a competing product or service.

E. User-Provided Content & Third-Party Materials (Simulation Creator)

Eriva Labs provides tools, such as the "Simulation Creator," that allow you to generate interactive educational content based on source materials you provide (e.g., YouTube links, personal PDF files, or text).

  • Your Responsibility: You are solely responsible for all content you provide to the Services. You represent and warrant that you have all necessary rights, licenses, and permissions to use such content with our tools.
  • No Storage Policy: Eriva Labs acts as a transient processor for the "Simulation Creator." We do not store, host, or archive the raw source materials (such as full PDFs or original video files) you provide for simulation generation once the processing is complete.
  • Third-Party Terms: If you provide content from third-party platforms (e.g., YouTube), you agree to comply with that platform's terms of service. Eriva Labs is not responsible for any violations of third-party terms by the user.
  • No Guarantee of Output Quality: Eriva Labs does not guarantee the pedagogical quality, technical accuracy, or completeness of the simulations generated by our automated tools. The quality and accuracy of the generated simulation are directly dependent on the quality, clarity, and accuracy of the source material provided by the user ("Garbage In, Garbage Out").
  • Admin Quality & Safety Review: While we do not proactively monitor all user activity, Eriva Labs reserves the right for its administrators to review any generated simulations for quality control, safety auditing, and compliance with our Acceptable Use Policy.
  • No Endorsement: Eriva Labs does not review, monitor, or endorse any user-provided content. We are not liable for any errors, inaccuracies, or illegalities in the content you choose to process through our tools.

F. Copyright & Takedown Requests (DMCA)

Eriva Labs respects the intellectual property rights of others. If you believe that any content on our platform infringes upon your copyright, please notify us immediately at [email protected] with the following information:

  1. A description of the copyrighted work that you claim has been infringed.
  2. Identification of the material that is claimed to be infringing and its location on the platform.
  3. Your contact information (name, address, telephone number, and email).
  4. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner.

6. Acceptable Use

Your use of the platform is subject to our Acceptable Use Policy. Violation of the Acceptable Use Policy may result in the immediate suspension or termination of your account.

7. Disclaimers and Warranties

A. General "As-Is" Disclaimer

THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. ERIVA LABS SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

B. Educational & Professional Disclaimer

All Eriva Labs Content, including interactive simulations and interactive textbooks, is for educational and informational purposes only.

  • No Professional Advice: Eriva Labs does not provide professional, technical, or certification advice.
  • Verify Information: While we strive for accuracy, educational simulations may simplify complex concepts for pedagogical reasons. You are solely responsible for verifying any information found on Eriva Labs with primary academic or professional sources before applying it to real-world scenarios.
  • Reliance at Your Own Risk: Eriva Labs is not liable for any real-world actions, damages, or consequences resulting from the use or reliance upon our educational simulations or content.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ERIVA LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO PADDLE FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Dispute Resolution and Binding Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

  • Initial Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against Eriva Labs, you agree to try to resolve the dispute informally by contacting [email protected].
  • Binding Arbitration: If the dispute is not resolved within 30 days, any claim, dispute, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively and finally by binding arbitration, rather than in court.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, specifically the jurisdiction of the courts located in Bangalore, Karnataka, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
